Agency Listing Agreement

What this is

This agreement sets out the terms under which the agency accepting it ("Agency") is listed on the Ashton & Forge marketplace and receives buyer introductions from Ashton & Forge ("A&F").

No fixed term. Either party may end this agreement at any time by written notice (email is fine).

What A&F does

• Lists the Agency in the Ashton & Forge marketplace with a profile page.
• Introduces qualified buyers — SMBs and mid-market companies that have completed the AI readiness intake and been matched to the Agency.
• Gives the Agency the option to accept or pass on each introduction before any fee applies.
• Handles all buyer qualification, intake, and matching. The Agency receives introductions; it doesn't source or qualify its own leads through this channel.

What the Agency does

• Maintains an accurate profile on the marketplace (services offered, specialties, case study references).
• Reviews each buyer introduction within 2 business days and indicates whether to accept or pass.
• Keeps a working payment card on file. A card is required to receive introductions; if the card is removed or expires, introductions pause until a new card is added. No fee is ever charged while introductions are paused.
• If the Agency accepts an introduction, a $500 acceptance fee is charged to the card on file at the time of acceptance.
• If the Agency passes, no fee applies and no further obligation exists for that introduction.
• Attends or reschedules intro calls with accepted buyers within a reasonable timeframe.
• Notifies A&F if an introduced buyer closes into a paid engagement — A&F tracks this for marketplace quality, not for additional fees.

Qualified lead definition

A buyer introduction is "qualified" when both of the following are true:

1. The buyer has completed the Ashton & Forge AI readiness intake.
2. The buyer has been matched to the Agency based on their stated industry, platform mix, and engagement type.

The $500 fee is charged when the Agency accepts the introduction — not on call completion or project close. Acceptance is followed by the warm handoff email introducing the Agency to the buyer; the introduction (not the meeting) is the deliverable. Passing on an introduction is always free.

What A&F can publish

• Agency name and logo: freely, as part of the marketplace listing.
• Agency case studies or client references: with Agency approval before each publication.

The Agency may remove its name and logo from the marketplace at any time by written notice.

Non-exclusivity

This agreement is non-exclusive. The Agency may list on other platforms, accept clients from any source, and participate in other referral programs without restriction.

De-listing

A&F may remove an Agency from the marketplace if:

• The Agency fails to respond to 2 or more consecutive introductions within the 2-business-day window without explanation.
• Material information in the Agency's profile is found to be inaccurate or misleading.
• The Agency's relevant certifications, team size, or delivery capacity changes materially and is not updated.

The Agency may request reinstatement if the underlying issue is resolved.

Assignment

A&F may assign this agreement — and any rights, obligations, or assets under it — to any successor entity formed to operate the Ashton & Forge business, including but not limited to AshtonForge LLC or any other entity organized by the current principals, without the Agency's prior consent.

Everything else

This agreement does not create an employment, partnership, or joint venture relationship. Neither party may represent itself as an agent of the other. A&F makes no guarantee of introduction volume or frequency.

Both parties agree to keep the other's confidential information (buyer names, pricing, pipeline details) private and not use it for any purpose outside this relationship.
